1. HOW TO PLAY: Beginning 12:00:01 AM ET on September 1, 2008 through 11:59:59 PM ET on November 30, 2008, to find out if you are an instant winner log on to www.mxenergy.com. Follow the instructions provided and enter all required information to see if you are an instant winner. If the message on the website reveals you are an instant winner, you win the prize specified, subject to verification. If you have won a prize, you will be notified via e-mail as to how and when you will receive your prize or affidavit package, depending on prize level. Game plays must be made by 11:59:59 PM ET on November 30, 2008. Only one play per person, per calendar day. Limit one prize per person, address and/or household.

2. ELIGIBILITY: MXenergy's Power Play Promotion ("Promotion") is open to legal U.S. residents residing in Connecticut, Florida, Georgia, Illinois, Indiana, Kentucky, Massachusetts, Maryland, Michigan, New Jersey, New York, Ohio, Pennsylvania and Texas , who are 18 years of age or older as of September 1, 2008 and have Internet access as of August 31, 2008. Employees of MXenergy Inc. (the "Sponsor"), Don Jagoda Associates, Inc., their respective parent companies, subsidiaries, affiliates, directors, officers, employees, agencies, any of their respective partners, prize suppliers (collectively, the "Sponsor Affiliates") and any of the members of their immediate family (defined as spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren) or same household of each are not eligible to win. This Promotion is void outside of CT, FL, GA, IL, IN, KY, MA, MD, MI, NJ, NY, OH, PA, TX and also where prohibited or restricted by law, and is subject to all applicable federal, state and local laws.

3. GRAND PRIZE AND ODDS: One (1) Grand Prize: $1,000 awarded in the form of a check. Odds of winning the Grand Prize are 1:262,500.

4. FIRST PRIZES AND ODDS: Three (3) First Prizes: $250 awarded in the form of a check. Total Value of all First Prizes $750. Odds of winning a First Prize are 1:87,500.

5. SECOND PRIZES AND ODDS: Five (5) Second Prizes: $100 awarded in the form of a check. Total Value of all Second Prizes $500. Odds of winning a Second Prize are 1:52,500.

6. THIRD PRIZES AND ODDS: Ten (10) Third Prizes: $50 awarded in the form of a check. Total Value of all Third Prizes $500. Odds of winning a Third Prize are 1:26,250.

7. FOURTH PRIZES AND ODDS: Ninety (90) Fourth Prizes: $25 awarded in the form of a check. Total Value of all Fourth Prizes $2,250. Odds of winning a Fourth Prize are 1:2,917.

8. VERIFICATION: All instant winners are subject to verification of eligibility. No more than the stated number of prizes will be awarded and, if due to an error of any kind, there are more prize messages revealed than the number of prizes offered, the total number of prizes listed shall be awarded via a random drawing from among all persons who receive winning messages. In no event will the Sponsor be obligated to award more than the stated number of prizes. Use of automated game play devices or programs is prohibited.

9. RELEASES: The potential Grand Prize winner will be required to sign and return an affidavit of eligibility and liability/publicity release, except where prohibited, within 14 days of notification before prize is awarded. If the potential Grand Prize winner fails to return the affidavit of eligibility within 14 days, the prize will be forfeited. If a potential winner is not reachable at the address provided, and a forwarding address is not made available, or prize/prize notification is returned as undeliverable, then the prize will be forfeited. All winners, by acceptance of a prize, agree to release the Sponsor and Sponsor Affiliates from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons and property. Except where prohibited or restricted by law, winners must consent to the use of their names, voices, pictures or other likenesses without compensation for promotional purposes as determined by the Sponsor.

10. GENERAL CONDITIONS: All persons, by participating in this Promotion agree to be bound by these Official Rules and the decisions of the judges, which shall be final and binding. The Sponsor and Sponsor Affiliates are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections or filed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in this Promotion or by any human error which may occur in the processing of the game plays in this Promotion. The Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Promotion if it is not capable of running as planned, including, but not limited to, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures or any other problems beyond the control of the Sponsor. In the event of cancellation, all instant win prizes claimed prior to cancellation will be awarded. The Sponsor is not responsible for any typographical or other error in the printing of the promotion materials or the offering or announcement of the prizes. No exchange of prize is permitted (except at the Sponsor's sole discretion). No substitution of prize is offered and no transfer of prize is permitted (except at the Sponsor's sole discretion). Winners are solely responsible for any local, state or federal taxes resulting from winning and accepting a prize.
